Regulations on share transfer
Transfer of shares means the transfer of shares by shareholders in a joint-stock company to other shareholders. The transfer of shares of shareholders is prescribed as follows:
- Types of transferred shares: Ordinary shares, dividend preference shares, refundable preference shares;
- Voting preference shares can not be transferred;
- Founding Shareholders means a shareholder that holds at least an ordinary share and has his/her signature in the list of shareholders that are also founders of the joint-stock company. Founding shareholders have the priority right to buy shares when shares are offered for sale.
- Ordinary shareholders (not founding shareholders) have the right to freely transfer their shares to others;
- The transfer is made by contract or trading on the stock market.
Composition of dossiers
- Decisions of the General Meeting of Shareholders (GMS) on the transfer of shares;
- Minutes of the GMS on the transfer of shares;
- List of founding shareholders of joint-stock companies;
- Company’s Charter (Amended and Supplemented);
- Share transfer contracts;
- Minutes of the liquidance of share transfer contracts;
- Certificate of shares of the company’s shareholders;
- Register of shareholders.
Competent authority
Business Registration Office – Department of Planning and Investment where the company is headquartered.
