Legal basis

Dossiers composition

• An application form for adjustment of the License for Establishment of a Representative Office, made according to the form of the Ministry of Industry and Trade, signed by a competent representative of the foreign trader;
• Original License for Establishment of Representative Office
• Documents evidencing changes in the name, head office address and head representative of the representative office (for the case of the foreign trader’s document appointing/appointing a new head of the office) representative in a foreign language and a copy of the passport of the new head of the representative office who is a foreigner) in Decree 07/2016/ND-CP must be translated into Vietnamese and authenticated in accordance with the law. 

Documents evidencing the change must be certified by a diplomatic mission or consular office of Vietnam abroad or consularly legalized in accordance with Vietnamese law.

• Depending on the specific content of the change, additional documents should be provided:

In case of modification of the License, in the case of change of the name or address of the foreign trader’s head office: A copy of the legal document issued by a competent authority evidencing the change in the name or address of the head office of foreign traders.

In case of modification of the License, in case of change of the head of the representative office: The document of the foreign trader appointing/appointing the new head of the representative office; copy of passport or identity card or citizen identification card (if Vietnamese) or passport copy (if foreigner) of the new head of the representative office; documents proving that the former head of the representative office has fulfilled the personal income tax obligation up to the time of change.

In case of modification of the License, in case of change of the address of the head office: A copy of the memorandum of understanding or agreement to rent a place or a copy of the document proving that the trader has the right to exploit and use the place to locate the head office. Representative office; a copy of the document on the proposed location of the representative office’s head office as prescribed in Article 28 of Decree 07/2016/ND-CP and relevant laws.

Competent agency to handle procedures: Department of Planning – Ministry of Industry and Trade, which has licensed the establishment of a representative office.

Time to carry out procedures: 5-7 working days from the date of submitting valid documents.
